Terms & Conditions
These general terms govern engagements between Zedech Studio and our clients. Project-specific details — scope, milestones, revisions, and timelines — are defined in the individual Statement of Work or Quotation, which prevails in case of conflict.

Scope of Work
- Project Execution
- Services are limited to the deliverables explicitly defined in the project proposal, quotation, or Statement of Work (“SOW”) signed between Zedech Studio and the Client.
- Change Requests
- Any work requested outside the agreed SOW — additional pages, redesigns, scope expansions, or new features — will be treated as a “Change Request” and quoted separately based on effort.
- Revision Rounds
- Each project includes a defined number of revision rounds as stated in the SOW. Additional rounds are billed at our standard rate.
- Third-Party Services
- Projects may rely on external services (e.g., domain registrars, hosting, CMS, analytics, payment gateways, font and stock libraries). We are not liable for service interruptions, deprecations, policy changes, or price changes initiated by these providers.
- Project-Specific Terms
- Service levels, hosting arrangements, maintenance scope, revision counts, and project timelines are defined in the individual SOW or Quotation. In case of conflict between these Terms and a signed SOW, the SOW prevails.

Payment & Ownership
- Milestones
- Payments are due according to the milestones and schedule defined in the SOW. Deposits and milestone payments are non-refundable once the corresponding work has commenced.
- Intellectual Property
- Upon receipt of final payment, the Client receives ownership of the final design files, source code, and content delivered specifically for their project. Zedech Studio retains all rights to its pre-existing design systems, internal frameworks, reusable components, and methodologies.
- Third-Party Assets
- Fonts, stock imagery, plugins, themes, and licensed assets used in the project remain governed by their respective licenses, which are passed to the Client where transferable.
- Suspension
- Failure to meet payment deadlines may result in the suspension of work, deployments, or hosting access until the outstanding balance is cleared. We will provide written notice before suspension where reasonably practicable.
- Portfolio Rights
- Unless otherwise agreed in writing, Zedech Studio retains the right to display completed work in its portfolio, case studies, and marketing materials.

Client Obligations
- Content Provision
- The Client agrees to provide necessary assets, brand materials, copy, images, and approvals in a reasonable timeframe. Delays in providing required materials may extend project timelines and incur additional costs.
- Technical Access
- The Client is responsible for granting the necessary permissions for installation, integrations, deployment, and account linking (e.g., domain registrar, hosting provider, analytics, CMS).
- Acceptance Testing
- The Client is responsible for reviewing deliverables and reporting issues within the User Acceptance Testing (UAT) window defined in the SOW. Requests made after UAT are treated as maintenance, change requests, or new work.
- Content Accuracy
- The Client is responsible for the accuracy, legality, and rights of all content provided to us (text, images, logos, data). The Client warrants they have the necessary rights to use such materials.
- Acceptable Use
- The Client agrees not to use Zedech Studio services for unlawful, defamatory, fraudulent, or infringing purposes, or in violation of the terms of underlying third-party providers.

Hosting & Maintenance
- Scope
- Hosting, maintenance, and ongoing support — including updates, backups, security patches, and content edits — are only provided where explicitly included in the SOW or a separate maintenance agreement.
- Service Levels
- Specific response times, resolution targets, support hours, and uptime commitments are defined in the SOW or maintenance agreement, not in these Terms.
- Third-Party Dependencies
- Performance and availability may depend on infrastructure and services outside our control. We are not liable for downtime caused by third-party hosting, network, CDN, or DNS providers.

Data Protection & Privacy
- PDPA Compliance
- Zedech Studio processes personal data in accordance with the Malaysian Personal Data Protection Act 2010 (PDPA) and applicable data protection laws.
- Data Integrity
- We implement reasonable technical and organisational measures to safeguard Client data and credentials shared during the engagement.
- Purpose Limitation
- Client data is used only to deliver the agreed services. We do not sell Client data, and we do not share it with third parties except where required to operate the service or where required by law.
- Backups
- Where backups are part of the agreed service, we maintain reasonable backup procedures. The Client is responsible for retaining their own copies of business-critical content where required.
- Confidentiality
- Each party agrees to keep confidential any non-public business, technical, or commercial information disclosed during the engagement, and to use it solely for the purpose of fulfilling the agreement.

Deliverables & Performance
- Design Subjectivity
- Design and creative direction are inherently subjective. We deliver work according to the brief and agreed creative direction. Personal taste preferences raised after approval are treated as Change Requests.
- Browser & Device Support
- Websites are tested and warranted on modern, up-to-date browsers and devices as defined in the SOW. Legacy browsers and unusual configurations are out of scope unless agreed in writing.
- Performance & SEO
- While we follow modern performance and SEO best practices, search engine rankings and traffic outcomes are influenced by external factors beyond our control. We do not guarantee specific rankings or traffic results.

Termination
- Notice
- Either party may terminate an ongoing service or maintenance agreement with written notice as defined in the SOW, or otherwise on reasonable notice.
- Effect of Termination
- Upon termination, the Client remains liable for fees accrued up to the termination date. Pre-paid fees for services not yet rendered may be refunded at our discretion, less any costs already incurred.
- Data & Asset Handover
- On request, the Client is entitled to a reasonable handover of their content, design files, and credentials in a commonly used format. Specific formats and timelines are defined in the SOW where applicable.
- Account Revocation
- Upon termination or at the Client’s instruction, access for departing or terminated users is revoked to maintain security.

Limitation of Liability
- Indirect Loss
- To the maximum extent permitted by law, Zedech Studio is not liable for indirect, incidental, or consequential losses, including loss of profit, revenue, goodwill, or business opportunity arising from the use of, or inability to use, our services.
- Cap on Liability
- Our total aggregate liability arising out of or in connection with any engagement shall not exceed the fees paid by the Client to Zedech Studio under the relevant SOW in the twelve (12) months preceding the event giving rise to the claim.
- Force Majeure
- Neither party is liable for delays or failures caused by events beyond their reasonable control, including natural disasters, internet or power outages, governmental action, third-party API or hosting failures, cyberattacks, or pandemics.
- 09
Governing Law
- Jurisdiction
- These Terms are governed by the laws of Malaysia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
- Updates
- We may update these Terms from time to time. The current version applies to all engagements entered into after the “Last updated” date below.
